I have tried everything to remove it......and no luck in doing so.
If I click on properties, here is what I find:
file://C:\WINDOWS\desktop.html
I tried to remove this.......and no luck in doing so.
Any thoughts?

have you tried running ad-aware? or your anti virus? Does it show up in your screen savers tab in your deaktop properties? I'm guessing that it is like a zupiter like thing and ad aware might get rid of it.

ALso, after you do Noel's suggestion, if you have not installed the latest MS Service Pack 2 for XP, download and install it from this link http://www.microsoft.com/windowsxp/sp2/default.mspx .
If you have dial-up connection, forget about downloading it. You can order the disk on-line from MS for a nominal charge. This SP2 is a major update to XP and focuses on security. This is, of course, that you have Windows XP.

To me that looks more like an Active Desktop 'wallpaper' and not a screen saver.
On the desktop, right click and select 'properties'.
Select a traditional wallpaper instead under the 'background' tab.

Copied this from another site.
A google search for "warning your in danger" (use the quotes) will bring up many references.
Unfortunatly this is rather common, its just an ad.
Click start > control panel > display > desktop > custom desktop > web > untick anything that is ticked.
Then download adaware SE from http://www.lavasoftusa.com/software/adaware/. Update it and run it, get rid of everything it suggests and it'll be gone.

I've had that same one or a similar one twice, and an ad to buy a Mahjongg game once. Here's what you do to remove it if you're running XP:
-right click on the desktop
-click on "properties"
-click on "desktop" tab
-click "customize desktop"
-click on "web" tab
-UNcheck any boxes that are checked
-click "okay"
...and your problem will disappear!
